Stockholders and interested parties may communicate directly with the members of the Board of Directors, including the Lead Director. All communications to the Board should be directed to CFC's Corporate Secretary (Secretary) and should prominently indicate on the outside of the envelope that it is intended for a member of the Board of Directors. Each communication intended for the Board and received by the Secretary will be cleared through normal security procedures and will be opened, read and copied. The Secretary will have discretion to determine whether stockholder communications are proper for submission to the intended recipient. Communications that are (a) solicitations, (b) duplicative of previously submitted communications, or (c) frivolous in nature, shall presumptively be deemed to be inappropriate for submission to the intended recipient. The Secretary or her designee may analyze and prepare a response to the information contained in communications received and may deliver a copy of the communication to other company employees or agents who are responsible for analyzing or responding to complaints or requests.
