Corporate Governance and Nominating

The Corporate Governance and Nominating Committee (i) identifies individuals qualified to become members of the Company's Board of Directors consistent with criteria approved by the Board; (ii) selects, or recommends that the Board select, Director nominees for election; (iii) advises the Board with respect to the organization of the Board and its committees; (iv) develops and recommends to the Board corporate governance principles; and (v) oversees the annual evaluation of the Board and its committees.
